4. User Content

4.1 Ownership

You retain ownership of all content you post, upload, or share on Grand Exchange ("User Content"). By submitting User Content, you grant Grand Exchange a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display your content in connection with the operation and promotion of the platform.

4.2 Content Standards

You agree that your User Content will not:

• Contain any material that is false, misleading, defamatory, or fraudulent.
• Infringe upon the intellectual property rights, privacy rights, or any other rights of third parties.
• Contain viruses, malware, or any other harmful computer code.
• Promote violence, hatred, discrimination, or illegal activities.
• Contain sexually explicit material involving minors.
• Violate any applicable local, state, national, or international law.

4.3 Content Removal

Grand Exchange reserves the right to remove any User Content that violates these Terms, our community guidelines, or applicable law, without prior notice. We may also suspend or terminate accounts that repeatedly violate our content policies.

When using Grand Exchange, you agree NOT to:

• Engage in any activity that could damage, disable, or impair the platform's functionality.
• Post or distribute malicious software, phishing links, or scams.
• Circumvent any security features or access restrictions on the platform.

6. Intellectual Property Rights

All content, features, and functionality on Grand Exchange — including but not limited to the design, graphics, logos, trademarks, text, images, audio, video, software, and code — are the property of Grand Exchange Enterprises and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any of our proprietary content without our express written permission.

The "Grand Exchange" name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Grand Exchange Enterprises. You may not use such marks without our prior written consent.

7. Third-Party Links and Services

Grand Exchange may contain links to third-party websites, services, or content that are not owned or controlled by us. We do not endorse or assume responsibility for any third-party content, websites, or services. You acknowledge and agree that Grand Exchange shall not be liable for any damage or loss caused by your use of or reliance on any third-party content.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Grand Exchange Enterprises and its directors, officers, employees, affiliates, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, resulting from:

• Any unauthorized access to or use of our servers and/or personal information.
• Any interruption or cessation of transmission to or from the platform.
• Any bugs, viruses, or similar harmful components transmitted through the platform.
• Any errors or omissions in any content on the platform.

In no event shall our total liability exceed the amount you have paid to Grand Exchange in the twelve (12) months preceding the claim, or INR 1,000 (whichever is greater).

12. Indemnification

You agree to indemnify, defend, and hold harmless Grand Exchange Enterprises, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

• Your use of the platform.
• Your violation of these Terms.
• Your violation of any rights of a third party.
• Any User Content you post or share on the platform.

13. Termination

We reserve the right to suspend or terminate your account and access to Grand Exchange at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the platform will immediately cease.
• We may delete your account and all associated data.
• Provisions that by their nature should survive termination (such as indemnification, limitation of liability, and dispute resolution) shall remain in effect.

You may also terminate your account at any time by contacting us or using the account deletion feature (when available).

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Rajasthan, India.

15. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties agree to first attempt to resolve the issue through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

17. Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Grand Exchange Enterprises regarding your use of the platform. These Terms supersede any prior agreements or understandings, whether written or oral.

18. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, technology, legal requirements, or for other operational reasons. When we make changes:
